Terms and Conditions

These terms set out the basic rules for using Protosoft websites, portals, hosted products, and related services.

Agreement to these terms

By accessing or using a Protosoft website, product, portal, or hosted service, you agree to these Terms and Conditions. If you do not agree, you should not access or use the relevant website, product, portal, or service.

1. Who these terms apply to

In these terms, “Protosoft”, “we”, “us”, and “our” mean Protosoft Pty Ltd. “You”, “user”, “customer”, “account holder”, or “visitor” means any person or organisation that accesses or uses our websites, portals, products, or services.

These terms apply to Protosoft public websites and to Protosoft-operated products and portals, including current and future products made available by Protosoft.

2. Changes to these terms

We may update these terms from time to time. The current version will be published on this page. Continued use of our websites, products, portals, or services after an update means you accept the revised terms.

3. Accounts and authorised access

Some areas require an account or authorised portal access. You are responsible for keeping your login details secure and for activity that occurs through your account.

  • You must provide accurate information when creating or maintaining an account.
  • You must not share access in a way that bypasses intended user limits, roles, or permissions.
  • You must notify us promptly if you believe an account has been accessed without permission.
  • We may suspend or restrict access where security, misuse, non-payment, or policy concerns reasonably require it.

4. Products and services

Protosoft creates, hosts, and maintains practical software products. Product features may change over time as products are improved, maintained, or adapted to technical, operational, or security requirements.

We aim to provide dependable systems, but no software product is guaranteed to be uninterrupted, error free, or suitable for every possible use case.

5. Payments, subscriptions, and renewals

Some products or services may be offered as subscriptions, once-off purchases, trials, renewals, or other commercial arrangements. The applicable price, billing period, and payment method will be shown at the point of purchase or renewal.

  • You are responsible for ensuring payment details are accurate and authorised.
  • Where recurring billing is offered and enabled, it may continue until cancelled in accordance with the product’s billing controls.
  • Where manual renewal is used, continued full access may depend on payment before or after the expiry date, depending on the product rules.
  • Prices and inclusions may change, but changes will not retrospectively alter a completed paid period unless required by law or agreed with you.

6. Refunds

Refunds are assessed according to the product, payment type, usage, timing, and any rights you may have under Australian Consumer Law. We do not promise a refund simply because you change your mind after purchasing or renewing a service.

Where a product has a trial period, the trial is intended to help you decide whether the product suits your needs before paying.

7. Customer data and records

You retain responsibility for the accuracy and legality of data you enter, upload, import, or store in a Protosoft product. We may store, process, back up, and transmit data as reasonably required to operate, maintain, support, secure, and improve the product.

Inactive trial, test, abandoned, or unpaid accounts may be archived, restricted, or deleted after a reasonable period, subject to the specific product rules, operational requirements, and applicable law.

8. Security and availability

We use practical security controls, monitoring, backups, access controls, logging, and Australian-hosted infrastructure where applicable. However, internet services can never be made completely risk-free.

  • You must use reasonable care with passwords, devices, email accounts, and authorised users.
  • You must not attempt to bypass authentication, permissions, rate limits, or security controls.
  • We may perform maintenance, updates, backups, security changes, or emergency work that affects availability.

9. Acceptable use

You must not use our websites, products, portals, or services for unlawful, abusive, harmful, deceptive, or disruptive purposes.

  • Do not attempt unauthorised access to systems, accounts, databases, files, or infrastructure.
  • Do not upload malicious code, attempt denial-of-service activity, scrape private areas, or interfere with normal operation.
  • Do not impersonate another person or organisation.
  • Do not use our systems to send spam, store illegal material, or breach another party’s rights.
  • Do not reverse engineer, copy, resell, or redistribute our software except where expressly permitted in writing or required by law.

10. Intellectual property

Unless otherwise stated, Protosoft owns or licenses the software, design, text, code, images, branding, structure, and other materials used in our websites, products, portals, and services.

You may use our products only for their intended purpose and only within the access granted to you. No ownership of Protosoft software, source code, branding, or intellectual property is transferred to you.

11. Third-party services and links

Our websites or products may link to or integrate with third-party services such as payment processors, email providers, hosting providers, or other external systems. We are not responsible for third-party websites, policies, outages, pricing, or content.

12. Disclaimer

Our websites, products, portals, and services are provided on an “as is” and “as available” basis to the extent permitted by law. We do not guarantee that they will be uninterrupted, error free, completely secure, or suitable for every purpose.

Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot lawfully be excluded under Australian Consumer Law.

13. Limitation of liability

To the maximum extent permitted by law, Protosoft is not liable for indirect, incidental, special, consequential, or business interruption losses, including loss of profit, loss of opportunity, loss of data, or loss arising from your use of or inability to use a website, product, portal, or service.

Where liability cannot be excluded, our liability is limited to the extent permitted by law.

14. Indemnity

You agree to indemnify Protosoft against claims, losses, damages, liabilities, costs, and expenses arising from your misuse of our websites, products, portals, or services, your breach of these terms, or your infringement of another party’s rights.

15. Governing law

These terms are governed by the laws of South Australia and the applicable laws of Australia. You agree that disputes will be dealt with by courts with jurisdiction in South Australia, Australia, subject to any law that requires otherwise.
